Welcome to Gapaian. These Terms of Service ("Terms") govern your access to and use of our resume builder, cover letter builder, learning management platform, and related services. Please read these Terms carefully before using our Services. By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing, browsing, or using the Gapaian website, mobile applications, or any services provided by Gapaian ("we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use our Services. Your continued use of the Services after any modifications to these Terms constitutes your acceptance of such modifications.

These Terms constitute a legally binding agreement between you (the "User" or "you") and Gapaian. If you are accessing or using our Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and in such case, "you" and "your" will refer to such entity.

2. Description of Services

Gapaian provides an online platform offering career development and educational resources, including but not limited to:

  • Resume Builder: Tools and templates to create, edit, format, and export professional resumes
  • Cover Letter Builder: Tools and templates to create personalized cover letters
  • Learning Management Platform: Educational content, courses, articles, and resources related to career development, job searching, professional skills, and related topics
  • Career Dashboard: AI-powered career gap analysis tools that assess your profile against general role requirements, providing readiness scores, skill assessments, and personalized development recommendations
  • AI-Powered Features: Artificial intelligence tools that provide writing assistance, content suggestions, grammar checking, keyword optimization, and other enhancements
  • Template Library: Access to professionally designed resume and cover letter templates
  • Export and Download: Ability to export and download your documents in various formats (PDF, DOCX, TXT, etc.)
  • Cloud Storage: Storage and synchronization of your documents across devices
  • Other Features: Additional features and services as may be offered from time to time

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice, and without liability to you. We may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability.

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use our Services, you must:

  • Be at least 13 years of age (or the age of consent in your jurisdiction, whichever is higher)
  • If you are between 13 and 18 years of age (or between 13 and 17 in Indonesia, or the age of majority in your jurisdiction), you must have your parent's or legal guardian's permission to use our Services
  • Have the legal capacity to enter into a binding agreement
  • Not be barred from using the Services under applicable law
  • Comply with all applicable local, state, national, and international laws and regulations

3.2 Account Registration

To access certain features of our Services, you must create an account. When creating an account, you agree to:

  • Maintain and promptly update your account information to keep it accurate, current, and complete
  • Maintain the security and confidentiality of your account credentials, including your username and password

  • Accept responsibility for all activities that occur under your account, whether or not authorized by you

We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion, including accounts with usernames that we deem offensive, inappropriate, or in violation of these Terms.

3.3 Account Security

You are solely responsible for maintaining the security of your account. We recommend:

  • Using a strong, unique password that you do not use for other services
  • Enabling two-factor authentication if available
  • Not accessing your account from public or shared computers without logging out
  • Regularly reviewing your account activity for any suspicious behavior

You acknowledge that any person with access to your account credentials can access your account and all information stored in it. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

4. User Responsibilities and Conduct

As a user of our Services, you are responsible for your own conduct and content. You agree to use our Services in compliance with these Terms and all applicable laws and regulations.

4.1 Your Responsibilities

You are solely responsible for:

  • The accuracy, completeness, and truthfulness of all information you provide in your resumes, cover letters, and other content
  • Reviewing and verifying all AI-generated suggestions and recommendations before incorporating them into your documents
  • Ensuring that your documents do not contain any false, misleading, or inaccurate information
  • Obtaining necessary permissions to include references, endorsements, or third-party information
  • Proofreading and reviewing your final documents for errors, formatting issues, or inappropriate content
  • Ensuring that your use of the Services does not violate any laws, regulations, or third-party rights

Important Disclaimer: We provide tools and suggestions to help you create professional documents, but we do not verify the accuracy of the information you provide. You are solely responsible for the content of your resumes and cover letters.

4.2 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate us, our employees, another user, or any other person or entity
  • In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services

5. Subscriptions and Payments

5.1 Free and Paid Services

We offer both free and paid subscription plans. Certain features and services may only be available to paid subscribers. The specific features available in each plan are described on our pricing page, which may be updated from time to time.

5.2 Subscription Plans and Billing

If you subscribe to a paid plan:

  • Billing Cycle: You will be billed on a recurring basis (monthly, annually, or as otherwise specified) starting from the date you subscribe
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. We will send you a reminder notification at least 7 days before your subscription renews or expires
  • Payment Method: You authorize us to charge your designated payment method for all fees associated with your subscription
  • Price Changes: We reserve the right to change our pricing. Any price changes will be communicated to you at least 30 days in advance of your next billing cycle. Continued use of our Services after the price change takes effect constitutes your acceptance of the new pricing
  • Failed Payments: If your payment fails, we may suspend or terminate your access to paid features until payment is received

5.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period
  • You will not be charged for subsequent billing periods
  • You will retain access to paid features until the end of your current billing period
  • After your subscription expires, you will lose access to paid features but can continue using free features

Refund Policy: All subscription fees are generally non-refundable, except where required by applicable law, in cases of clear service defects or technical issues on our part, or as otherwise explicitly stated in a separate refund policy. We do not provide refunds for partial billing periods or unused portions of a subscription. If you believe you are entitled to a refund or are dissatisfied with our Services, please contact us at admin@gapaian.com, and we will review your case individually.

5.4 Free Trials and Promotional Offers

We may offer free trials or promotional discounts from time to time. These offers are subject to specific terms and conditions, which will be communicated to you at the time of the offer. Unless you cancel before the end of a free trial period, you will be automatically charged for a subscription at the then-current rate.

5.5 Taxes

Prices displayed on our website may be exclusive of applicable taxes. We collect Value Added Tax (VAT) or similar indirect taxes in regions where we are required to do so by law. The final amount charged at checkout will include any applicable taxes based on your location. You are responsible for any additional taxes, duties, or other governmental charges that may apply to your use of our Services.

5.6 Payment Disputes

If you believe there is an error with a charge or wish to dispute a payment:

  • Payment disputes should be initiated through your payment processor (credit card company, bank, or payment service provider)
  • We will cooperate with your payment processor to resolve the dispute and provide necessary documentation
  • You may also contact us at admin@gapaian.com to report billing concerns, and we will work to resolve the issue
  • Please review your charges promptly and report any discrepancies within 60 days of the charge date

We are committed to fair billing practices and will work with you and your payment processor to resolve legitimate disputes.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services and all content, features, and functionality available through the Services, including but not limited to:

  • Website design, layout, and user interface
  • Software, code, algorithms, and technology
  • Resume and cover letter templates (design and layout)
  • Text, graphics, logos, icons, images, and audio/video clips
  • Compilation of content, features, and functionality
  • Educational articles, courses, and learning materials
  • Gapaian trademarks, service marks, and logos

are owned by Gapaian or our licensors and are protected by Indonesian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Limited License to Use Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Access and use our Services for your personal, non-commercial purposes
  • Create, edit, and download resumes and cover letters for your own job search activities
  • Access and view educational content and learning materials

This license does not include the right to:

  • Reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of our Services for commercial purposes without our prior written consent
  • Reverse engineer, decompile, or disassemble any software or technology used in our Services
  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
  • Use our Services or content for any purpose that competes with or in any way substitutes for our Services

6.3 Restrictions on Use

You may not:

  • Copy, modify, or distribute our templates, designs, or content for use outside our platform
  • Use automated systems (bots, scrapers, crawlers) to access our Services without our permission
  • Frame or mirror any part of our Services without our prior written authorization
  • Access our Services to build a similar or competitive product or service
  • License, sell, rent, lease, transfer, assign, or otherwise commercially exploit our Services

6.4 Trademarks

"Gapaian" and our logo are trademarks or registered trademarks of Gapaian in Indonesia and other countries. You may not use our trademarks without our prior written permission. All other trademarks, service marks, and logos appearing on the Services are the property of their respective owners.

7. User Content and License

7.1 Ownership of Your Content

You retain all ownership rights to the content you create, upload, or submit through our Services ("User Content"), including the text, information, and data in your resumes and cover letters. We do not claim ownership of your User Content.

7.2 License Grant to Us

By creating, uploading, or submitting User Content through our Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, modify, publish, transmit, display, and distribute your User Content solely for the purposes of:

  • Providing, operating, maintaining, and improving our Services
  • Processing your User Content to provide features such as document storage, synchronization, formatting, and export
  • Using AI and machine learning technologies to provide suggestions, recommendations, and enhancements
  • Responding to your support requests and inquiries
  • Creating anonymized, aggregated, or de-identified data for analytics, research, and service improvement (such data will not identify you personally)

This license exists only for as long as you choose to keep your User Content in our Services and will terminate when you delete your User Content or close your account, except that we may retain and use anonymized, aggregated data that cannot be used to identify you.

7.3 Your Representations and Warranties

You represent and warrant that:

  • You own or have the necessary rights, licenses, consents, and permissions to submit your User Content and to grant the license described above
  • Your User Content does not violate any laws, regulations, or third-party rights (including intellectual property rights, privacy rights, or publicity rights)
  • Your User Content does not contain any viruses, malware, or other harmful code
  • Your User Content does not contain defamatory, obscene, offensive, or otherwise objectionable material

7.4 We Do Not Verify User Content

We do not verify, endorse, or guarantee the accuracy, completeness, or quality of User Content. You acknowledge that you are solely responsible for your User Content and the consequences of posting or publishing it. We have no obligation to monitor User Content, but we reserve the right to review, edit, or remove User Content at our discretion, including content that violates these Terms or applicable law.

7.5 Backup and Data Loss

While we take reasonable measures to back up and protect your data, we strongly recommend that you maintain your own backup copies of your User Content. We are not responsible for any loss, corruption, or deletion of User Content, whether due to technical failures, security breaches, or any other reason.

9. AI-Powered Features and Disclaimers

9.1 AI-Generated Content

Our Services may use artificial intelligence and machine learning technologies to provide features such as:

  • Writing assistance and content suggestions
  • Grammar and spelling checking
  • Resume and cover letter optimization
  • Keyword recommendations
  • Formatting and design suggestions
  • ATS (Applicant Tracking System) compatibility analysis

9.2 Understanding Our AI-Supported Content

We believe in transparency about how we create and deliver content to you:

  • AI-Enhanced Content Creation: Content across our Services—including courses, educational materials, career guidance, resume suggestions, and cover letter recommendations—is created with the support of generative artificial intelligence (Gen-AI) technology. Our team conducts thorough reviews of the content we provide to ensure quality and relevance. However, as with any educational resource, we encourage you to treat our content as a valuable starting point rather than a sole authority
  • Continuous Learning Journey: We encourage you to complement your learning by exploring additional reputable sources, academic literature, professional resources, and qualified experts. The best career outcomes come from diverse perspectives and continuous learning
  • Content Accuracy: While we strive for accuracy in all our content, AI-generated suggestions and recommendations may occasionally contain errors or require refinement. We continuously work to improve our content quality
  • Your Active Role: You play an important role in your success. We recommend reviewing and personalizing AI-generated content in your resumes and cover letters to ensure they authentically represent your unique experience and voice
  • Career Outcomes: Your career success depends on many factors including your skills, experience, effort, and market conditions. Our tools and content are designed to support and enhance your journey, working alongside your own dedication and hard work
  • Striving for Fairness: We actively work to minimize bias in our AI systems and content. We are committed to continuous improvement in this area
  • Complementary to Professional Guidance: Our AI features are designed to complement, not replace, professional career counseling or personalized advice. For specific situations, we encourage consulting with qualified professionals

By using our Services, you acknowledge that: (a) our content is AI-supported and our team works diligently to maintain quality; (b) the best results come from combining our resources with your own research and professional guidance; and (c) ultimate decisions and actions based on our content remain your responsibility.

9.3 Career Dashboard and Gap Analysis

Our Career Dashboard uses AI to analyze your profile against general role requirements and provide career readiness assessments. When using the Career Dashboard, you acknowledge and agree that:

  • General Guidance Only: The skills, experience, and qualification requirements presented in the Career Dashboard are generated by AI based on publicly available industry data and general market trends. They do not represent the actual or specific hiring criteria of any individual employer, organization, or job posting
  • No Employer Affiliation: The role requirements, readiness scores, and gap analysis results are not sourced from, endorsed by, or affiliated with any specific company. They are generalized benchmarks intended to provide directional guidance only
  • Verify With Actual Requirements: You should always consult the official job description, company career page, or hiring manager for the specific requirements of any role you intend to apply for. The Career Dashboard is designed to supplement—not replace—your own research into employer expectations
  • No Guarantee of Accuracy or Completeness: While we strive to provide useful and relevant assessments, AI-generated analyses may not reflect the most current industry standards, regional variations, or niche role requirements. The results may contain inaccuracies or omissions
  • Not Professional Advice: Career readiness scores, skill gap assessments, and development recommendations are informational tools only and do not constitute professional career counseling, recruitment advice, or employment guidance

By using the Career Dashboard, you acknowledge that: (a) the analysis is based on generalized data and AI inference, not on specific employer requirements; (b) you are solely responsible for verifying role requirements with the organizations you wish to apply to; and (c) career decisions made based on the Career Dashboard are made at your own discretion and risk.

9.4 Third-Party AI Services

We may use third-party AI service providers to power certain features. When you use these features, your content may be processed by these third-party providers in accordance with their terms of service and privacy policies. We select reputable providers and require them to protect your data, but we are not responsible for their actions or any issues arising from their services.

9.5 Data Use for AI Improvement

We may use anonymized and aggregated data to train and improve our AI models. Your personal information and identifiable content will not be used to train AI models without your consent. For more details, please refer to our Privacy Policy.

9.6 Beta and Preview Features

We may offer beta, preview, or experimental features that are still in development. When using these features:

  • Beta features are provided "as is" without any warranties and may contain bugs or errors
  • We may modify, suspend, or discontinue beta features at any time without notice
  • Your use of beta features is at your own risk, and we are not liable for any issues arising from their use
  • Beta features may have reduced security, stability, or performance compared to our production features
  • We encourage you to provide feedback on beta features, which helps us improve our Services

By using beta features, you acknowledge these additional risks and agree to these terms. Beta features will be clearly labeled as "Beta," "Preview," or "Experimental" in our Services.

10. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

10.1 Illegal and Harmful Activities

  • Using the Services for any illegal purpose or in violation of any local, state, national, or international law
  • Engaging in fraud, identity theft, or providing false or misleading information
  • Harassing, threatening, intimidating, or abusing any person
  • Posting or transmitting content that is defamatory, obscene, pornographic, abusive, or hateful
  • Promoting violence, discrimination, or illegal activities
  • Violating the privacy rights or intellectual property rights of others

10.2 System Abuse and Security Violations

  • Attempting to gain unauthorized access to our Services, other users' accounts, or our computer systems
  • Interfering with, disrupting, or placing excessive load on our Services or networks
  • Introducing viruses, malware, Trojan horses, worms, or other malicious code
  • Circumventing, disabling, or interfering with security features of the Services
  • Using automated systems (bots, scripts, scrapers) to access or collect data from the Services without permission
  • Probing, scanning, or testing the vulnerability of our systems or networks
  • Reverse engineering, decompiling, or disassembling any software or technology used in our Services

10.3 Service Abuse

  • Creating multiple accounts to abuse free trials or promotional offers
  • Sharing your account with others or selling/transferring your account
  • Using the Services on behalf of others without authorization
  • Reselling, sublicensing, or commercially exploiting our Services without permission
  • Copying, modifying, or distributing our templates or content for commercial purposes
  • Using our Services to compete with us or to develop a competing product or service

10.4 Consequences of Prohibited Conduct

If you engage in any prohibited conduct, we may, at our sole discretion:

  • Suspend or terminate your access to the Services
  • Remove or disable any content you have submitted
  • Report your conduct to law enforcement authorities
  • Take legal action against you
  • Pursue any other remedies available to us

11. Account Termination and Suspension

11.1 Termination by You

You may terminate your account at any time by:

  • Using the account deletion option in your account settings, or
  • Contacting us at admin@gapaian.com and requesting account deletion

Upon termination, your access to the Services will cease, and your User Content may be deleted in accordance with our data retention policies. We recommend downloading and backing up any important content before terminating your account.

11.2 Termination or Suspension by Us

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or our policies
  • Engaging in prohibited conduct as described in Section 10
  • Non-payment of subscription fees
  • Fraudulent or illegal activity
  • Extended periods of inactivity (accounts that have been inactive for 24 months or more may be terminated)
  • Risk to the security or integrity of our Services
  • Requests by law enforcement or other government agencies

We are not required to provide notice before suspending or terminating your account, but we will attempt to do so when reasonably possible. For accounts being terminated due to inactivity, we will send a notification to your registered email address at least 30 days before termination.

11.3 Effect of Termination

Upon termination of your account, whether by you or us:

  • Your right to use the Services will immediately cease
  • Your User Content may be deleted from our servers (subject to our data retention policies and legal obligations)
  • You will not be entitled to any refunds of subscription fees (unless required by law)
  • All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability

11.4 Data Retention After Termination

After account termination, we will delete or anonymize your personal information within 30 days, except where we are required or permitted to retain it for legal, regulatory, security, fraud prevention, or other legitimate business purposes. Our Services may contain links to third-party websites, services, or applications that are not owned or controlled by Gapaian, including but not limited to:

  • Social media platforms (LinkedIn, Facebook, Twitter, etc.)
  • Authentication services (Google Sign-In, etc.)
  • Payment processors
  • Analytics and advertising services
  • Job boards and employer websites
  • Educational resources and external articles

We provide these links for your convenience, but we do not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party services. Your interactions with third-party services are governed by their respective terms of service and privacy policies.

You acknowledge and agree that we are not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any third-party services or content. We strongly advise you to read the terms and privacy policies of any third-party services you access.

13. Disclaimers and Warranties

Please read this section carefully. It limits our liability to you.

13.1 "As Is" and "As Available" Basis

The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components
  • Warranties regarding the accuracy, completeness, reliability, or timeliness of content, including AI-generated content
  • Warranties that defects will be corrected or that the Services will meet your requirements

13.2 No Employment Guarantee

We do not guarantee or warrant that use of our Services will result in employment, job interviews, job offers, or any particular employment outcome. Employment outcomes depend on many factors entirely beyond our control, including your qualifications, experience, the job market, employer decisions, and other factors.

13.3 No Professional Advice

Our Services, including AI-generated suggestions and educational content, are for informational purposes only and do not constitute professional career counseling, resume writing services, legal advice, or any other professional advice. You should consult with qualified professionals for advice specific to your situation.

13.4 Third-Party Content and Services

We are not responsible for the content, accuracy, or practices of third-party websites, services, or applications linked to or integrated with our Services. Any reliance on third-party content or services is at your own risk.

13.5 No Guarantee of Availability

We do not guarantee that the Services will be available at all times. The Services may be unavailable due to maintenance, technical issues, security threats, or other factors beyond our control. We reserve the right to modify, suspend, or discontinue the Services at any time without notice or liability.

13.6 User Responsibility

You are solely responsible for your use of the Services and for any consequences thereof, including the accuracy of your resumes and cover letters. You acknowledge that you are responsible for reviewing and verifying all content, including AI-generated suggestions, before using it.

13.7 Jurisdictional Variations

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, some of the exclusions or limitations in this section may not apply to you, and you may have additional rights under applicable law.

14. Limitation of Liability

Please read this section carefully. It limits our liability to you.

14.1 Exclusion of Certain Damages

To the fullest extent permitted by applicable law, in no event shall Gapaian, its affiliates, directors, officers, employees, agents, service providers, licensors, or suppliers be liable for any:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages
  • Loss of profits, revenue, data, goodwill, or other intangible losses
  • Damages arising from loss of employment opportunities, job offers, or interviews
  • Damages arising from errors, inaccuracies, or omissions in your resumes or cover letters
  • Damages arising from unauthorized access to or use of your account or data
  • Damages arising from interruption, suspension, or termination of the Services
  • Damages arising from any third-party services, content, or conduct
  • Damages arising from reliance on AI-generated content or suggestions

Whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not we have been informed of the possibility of such damage.

14.2 Limitation of Total Liability

To the fullest extent permitted by applicable law, our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Services, whether in contract, tort, or otherwise, shall not exceed the greater of:

  • The amount you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim, or
  • One hundred U.S. dollars (USD $100)

14.3 Basis of the Bargain

You acknowledge and agree that the limitations of liability set forth in this section are fundamental elements of the basis of the bargain between you and Gapaian, and that we would not be able to provide the Services on an economically reasonable basis without these limitations.

14.4 Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

14.5 Applicability

The limitations of liability in this section shall apply to all claims, whether based on warranty, contract, statute, tort (including negligence), or any other legal theory, and whether or not we have been informed of the possibility of any such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

15. Indemnification

You agree to indemnify, defend, and hold harmless Gapaian, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, service providers, licensors, and suppliers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of a third party, including intellectual property rights, privacy rights, or publicity rights
  • Your User Content or any content you submit through the Services
  • Any false, inaccurate, or misleading information in your resumes, cover letters, or other content
  • Your conduct in connection with the Services
  • Any unauthorized access to or use of your account by third parties

17.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law principles. You agree to submit to the jurisdiction of the courts located in Jakarta, Indonesia, for the resolution of any disputes.

17.2 Dispute Resolution Process

If you have any dispute, claim, or controversy with us, we encourage you to first contact us at admin@gapaian.com to attempt to resolve the dispute informally. We will work with you in good faith to resolve any issues.

If we are unable to resolve the dispute within thirty (30) days of your initial contact, you agree that any unresolved disputes shall be resolved through binding arbitration as described below.

17.3 Arbitration

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC. The arbitration shall be:

  • Conducted by a single arbitrator appointed in accordance with the SIAC Rules
  • Held in Singapore
  • Conducted in the English language
  • Final and binding on both parties

The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof. As Indonesia is a signatory to the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards, SIAC arbitral awards are enforceable in Indonesia.

17.4 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

17.5 Class Action Waiver

To the fullest extent permitted by applicable law, you agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. You agree to waive any right to have any dispute brought, heard, administered, resolved, or arbitrated as a class action, collective action, private attorney general action, or in any other representative capacity. This waiver applies only to the extent it is enforceable in your jurisdiction; where class action waivers are prohibited by law, this provision shall not apply to you.

17.6 Alternative Jurisdiction

If arbitration is not available or is prohibited by applicable law in your jurisdiction, disputes may be resolved in the competent courts of Jakarta, Indonesia, which shall have exclusive jurisdiction.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Services, constitute the entire agreement between you and Gapaian regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

18.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be deleted.

18.3 Waiver

No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms or your rights and obligations hereunder, in whole or in part, without our prior written consent. We may assign or transfer these Terms or our rights and obligations hereunder at any time without your consent, including in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this section shall be null and void.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms arising out of any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

18.6 Relationship of the Parties

Nothing in these Terms shall be construed as creating a joint venture, partnership, employment, or agency relationship between you and Gapaian. You have no authority to bind Gapaian in any way.

18.7 Survival

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, limitations of liability, dispute resolution provisions, and general provisions.

These Terms may be translated into other languages for your convenience. In the event of any conflict or inconsistency between the English version and any translated version, the English version shall prevail.

You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive sanctions, and that you are not on any prohibited party list.
